End User License Agreement

Introduction

This End User Software License Agreement (“EULA”) is a legally binding agreement between the individual or entity using the Licensed Software (“Licensee”) and Right On Cue Services (“ROCS”), a company having its principal place of business at 180 N University Ave Suite 555, Provo, UT 84601.

Please read this EULA carefully before downloading, installing, or using the Licensed Software. By downloading, installing, accessing, or using the Licensed Software, Licensee agrees to be bound by this EULA.

Definitions

For purposes of this EULA:

  • “Licensed Software” means the Show|Ready, Stage|Tracks, ROCS|Player, and ROCS|Cue software, including their related Documentation, components, fonts, Updates, and other software materials provided by ROCS.
  • “Licensed Content” means the musical tracks, recordings, show files, and other copyrighted content made available through the Licensed Software.
  • “Access Code” means a code issued by ROCS that permits access to Licensed Content. Access Codes may include Viewer Codes and Viewer & Editor Codes.
  • “Viewer Code” means an Access Code that permits the Licensee to play authorized Licensed Content.
  • “Viewer & Editor Code” means an Access Code that permits the Licensee to play and edit authorized Licensed Content.
  • “Seat” means one authorized device entitlement included with the applicable license for Licensed Content. A license may include a specified number of Viewer Seats and, where applicable, Editor Seats. Each Seat permits Licensed Content to be activated and accessed on one device. Once a Seat has been used to activate Licensed Content on a device, that Seat may not be reallocated or transferred to another device or user during the applicable license term.
  • “Documentation” means written materials, instructions, guides, and other documentation provided by ROCS relating to the Licensed Software.
  • “Updates” means upgrades, modified versions, updates, additions, bug fixes, and other improvements to the Licensed Software provided by ROCS.

License Grant

Subject to Licensee’s compliance with this EULA and any applicable license for Licensed Content, ROCS grants Licensee a limited, non-exclusive, non-transferable license to download, install, and use the Licensed Software for the duration and purposes authorized under the applicable license.

The Licensed Software is provided under a limited-term license. Licensee does not acquire any ownership interest in the Licensed Software.

The license granted under this EULA does not grant Licensee any ownership interest in or independent rights to Licensed Content. Access to Licensed Content is separately subject to a valid and current license from the applicable licensing company or other authorized rights holder.

Licensed Software

The Licensed Software includes all of the contents of the files and other media for which this EULA is provided, including:

  1. Third-party computer information or software that ROCS has licensed for inclusion in the Licensed Software;
  2. Documentation;
  3. Fonts; and
  4. Updates and authorized copies of the Licensed Software.

Installation

Licensee may download and install the Licensed Software an unlimited number of times on computers and supported devices that meet the applicable system requirements. The number of software downloads or installations of the Licensed Software is not limited by the number of Seats included with Licensee’s license. Downloading or installing the Licensed Software does not consume a Seat and does not, by itself, grant access to Licensed Content.

Access to and downloading of Licensed Content is available only to a Licensee with a valid and current license for the applicable Licensed Content. Each applicable license includes a specified number of Seats, which determine the number of devices on which the Licensed Content may be activated.

Each Seat may be used to activate the applicable Licensed Content on one device. Once a Seat has been used to activate the Licensed Content on a device, that Seat is considered used and may not be reallocated or transferred to another device or user during the applicable license term.

After Licensed Content has been activated on a device using an available Seat, it will automatically download the applicable Licensed Content to that device during the period in which the applicable license remains valid.

Activation and Access

The Licensed Software contains technological measures designed to verify authorization to access Licensed Content and to prevent unauthorized or illegal use.

Access to Licensed Content is provided through Access Codes issued by ROCS. A license may include a Viewer Code and, where applicable, an Editor Code.

A single Viewer Code may be used to activate Licensed Content on multiple authorized devices, subject to the number of Viewer Seats included with the applicable license. Each device on which the Viewer Code is successfully activated consumes one Viewer Seat.

Where an Editor Code is provided, a single Editor Code may be used to activate editing functionality on multiple authorized devices, subject to the number of Editor Seats included with the applicable license. An Editor Code may only be used on a device on which the applicable Viewer Code has also been added. Accordingly, each device that uses an Editor Code consumes one Viewer Seat and one Editor Seat.

Once a Seat has been used to activate Licensed Content on a device, that Seat may not be reallocated or transferred to another device or user during the applicable license term.

Licensee is responsible for distributing Access Codes only to individuals authorized to use the Licensed Content under the applicable license. Licensee shall not share Access Codes with individuals or entities that are not authorized to access the Licensed Content.

Access to Licensed Content is subject to Licensee maintaining a valid and current license for the applicable content. If the applicable content license expires, is terminated, or otherwise ceases to authorize access, ROCS will revoke access to the corresponding Licensed Content.

Use of Licensed Content

Licensed Content, including show files, musical tracks, recordings, and other materials made available through the Licensed Software, is protected by copyright and other intellectual property rights and may be subject to additional rights held by third parties, including licensing companies, publishers, composers, authors, or other rights holders.

Licensee receives only the limited right to access and use Licensed Content as expressly authorized by the applicable license. No ownership or additional rights in the Licensed Content are transferred to Licensee.

Licensee may not reproduce, distribute, share, sell, sublicense, publicly perform, transmit, or otherwise use Licensed Content except as expressly permitted by the applicable license. Licensee is responsible for complying with all applicable restrictions and requirements imposed by the applicable licensing company or other rights holder.

Access to Licensed Content is provided only while Licensee maintains a valid and current license for the applicable content. If the applicable license expires, is terminated, or otherwise ceases to authorize access, Licensee’s right to access and use the corresponding Licensed Content will immediately terminate.

Licensee shall not provide any Licensed Content or Access Code to any individual or entity that is not authorized to access or use such Licensed Content under the applicable license.

Encrypted Show Files

Licensed Content will be downloaded to Licensee’s computer or supported device in an encrypted format for use through the Licensed Software. The encrypted show files are protected by technological measures designed to prevent unauthorized access to, extraction of, or use of the underlying Licensed Content.

The presence of an encrypted show file on Licensee’s computer or supported device does not grant Licensee ownership of the file or the underlying Licensed Content, or any rights beyond those expressly granted by the applicable license.

Licensee may not attempt to decrypt, extract, export, copy, reproduce, distribute, or otherwise circumvent the technological measures protecting Licensed Content.

Licensee may not use any tool, software, process, or other method to access or extract Licensed Content outside of the Licensed Software.

Restrictions on Use

Licensee agrees that Licensee shall not:

  1. Modify, adapt, translate, sublicense, sell, distribute, or otherwise provide the Licensed Software, or any portion thereof, to a third party.
  2. Create derivative works based on all or any portion of the Licensed Software or Documentation.
  3. Reverse engineer, decompile, disassemble, or otherwise attempt to discover or derive the source code, underlying ideas, algorithms, or structure of the Licensed Software.
  4. Use unsupported versions of the Licensed Software in a manner that is incompatible with the system requirements or support policies published by ROCS.
  5. Remove, alter, or obscure any copyright, trademark, proprietary, or other legal notices contained in the Licensed Software or Documentation, including notices belonging to ROCS or third parties whose software or materials are incorporated into the Licensed Software.
  6. Provide the Licensed Software, Licensed Content, or Access Codes to any unauthorized individual or entity.
  7. Copy, reproduce, distribute, transmit, sell, sublicense, share, or otherwise provide Licensed Content to any person or entity that is not authorized to receive or use such content under the applicable license.
  8. Use the Licensed Software or Licensed Content in any manner that violates applicable law, this EULA, or the terms and restrictions of the applicable license governing the Licensed Content.
  9. Circumvent, disable, bypass, or attempt to defeat any technological measure, access control, encryption, or other mechanism used by ROCS to control access to the Licensed Software or Licensed Content or to enforce the terms of this EULA or the applicable content license.

Transfer

The license to use the Licensed Software granted under this EULA is non-transferable. Licensee may not sell, assign, sublicense, or otherwise transfer the Licensed Software license or any rights granted under this EULA to another individual or organization without the prior written consent of ROCS.

Any license to Licensed Content is separately subject to the terms of the applicable license and may not be transferred except as expressly permitted by the applicable licensing company or rights holder.

The Seats included with a license are not separately purchased licenses and may not be sold, sublicensed, assigned, transferred, or reallocated. Each Seat is consumed when the applicable Licensed Content is activated on a device and remains associated with that device for the duration of the applicable license. Licensee is responsible for ensuring that its authorized users activate Licensed Content only on devices intended for their use.

Updates and Previous Versions

ROCS may periodically provide Updates to the Licensed Software. Updates may be provided automatically, made available for download, or otherwise provided through channels designated by ROCS.

Licensee may download and install Updates as they become available. The availability of an Update does not limit Licensee’s right to download or install the Licensed Software an unlimited number of times.

ROCS may discontinue technical support for previous versions of the Licensed Software. Licensee is responsible for using a version of the Licensed Software that is supported by ROCS and for ensuring that the computer or device on which the Licensed Software is installed meets the minimum system requirements published by ROCS on the applicable Licensed Software downloads page.

ROCS does not guarantee that previous versions of the Licensed Software will remain compatible with current operating systems, hardware, or third-party technologies. Continued use of a previous version may not be supported by ROCS.

Beta Software

From time to time, ROCS may invite Licensee to participate in a beta testing program or provide Licensee with a pre-release version of the Licensed Software (“Beta Software”). Beta Software is provided for testing and evaluation purposes and may not be fully developed, tested, or ready for general commercial use.

Licensee acknowledges that Beta Software may contain bugs, errors, defects, or other issues that may affect the performance, reliability, or functionality of the Licensed Software. Beta Software may also be changed, suspended, or discontinued at any time, and features available in a beta version may be modified or omitted from a future commercial release.

ROCS does not guarantee that Beta Software will be made commercially available or that any particular feature or functionality tested during a beta program will be included in a future version of the Licensed Software.

Licensee understands that participation in a beta testing program is intended to assist ROCS in identifying issues and improving the Licensed Software. Licensee agrees to provide reasonable feedback regarding Licensee’s experience with the Beta Software, including reports of errors, bugs, unexpected behavior, and other issues when requested by ROCS. Licensee’s use of Beta Software is subject to this EULA.

Data Collection

ROCS collects anonymized usage data and performance metrics relating to the Licensed Software for purposes including monitoring software performance, identifying issues, improving functionality, and developing future Updates.

Indemnification

Licensee shall indemnify, defend, and hold harmless ROCS, its affiliates, licensors, suppliers, officers, directors, employees, and agents from and against any claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and reasonable attorneys’ fees arising out of or resulting from Licensee’s:

  1. Unauthorized use, reproduction, distribution, sharing, modification, or other misuse of Licensed Content;
  2. Use of Licensed Content in violation of the terms or restrictions of the applicable license;
  3. Provision of Licensed Content or Access Codes to an unauthorized individual or entity;
  4. Attempt to decrypt, extract, export, copy, or otherwise circumvent technological measures protecting Licensed Content; or
  5. Material breach of this EULA relating to Licensee’s access to or use of Licensed Content or the Licensed Software.

Disclaimer of Warranties

The Licensed Software and Licensed Content are provided “as is” and “as available,” to the maximum extent permitted by applicable law. ROCS and its affiliates, licensors, and suppliers make no warranties, representations, conditions, or guarantees, express or implied, regarding the Licensed Software or Licensed Content, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or satisfactory quality.

ROCS does not warrant that the Licensed Software or Licensed Content will be uninterrupted, error-free, secure, or available at all times, or that all defects or errors will be corrected. ROCS does not warrant that the Licensed Software will remain compatible with any particular operating system, hardware, device, or third-party software.

ROCS does not warrant that Licensee will have continuous access to Licensed Content. Access to Licensed Content is subject to the terms, duration, and status of the applicable license from the relevant licensing company or other rights holder.

Nothing in this EULA excludes or limits any warranty, condition, representation, or right that cannot lawfully be excluded or limited under applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, ROCS, its affiliates, licensors, and suppliers shall not be liable to Licensee for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or savings, arising out of or relating to this EULA, the Licensed Software, or Licensed Content, even if ROCS has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, ROCS’s total aggregate liability arising out of or relating to this EULA, the Licensed Software, or Licensed Content shall not exceed the total fees paid or payable for the applicable license during the twelve (12) months immediately preceding the event giving rise to the claim.

The foregoing limitations shall apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, and regardless of whether ROCS has been advised of the possibility of such damages.

Notwithstanding the foregoing, nothing in this EULA shall limit liability to the extent such liability cannot lawfully be limited or excluded under applicable law.

Support and System Requirements

ROCS may provide technical support for the Licensed Software in accordance with its then-current support policies. ROCS may discontinue technical support for older versions of the Licensed Software.

Licensee is responsible for ensuring that its computers and supported devices meet the minimum system requirements published by ROCS on the applicable Licensed Software downloads page. ROCS does not guarantee compatibility with systems or devices that do not meet those requirements.

ROCS may update or modify the minimum system requirements from time to time. Continued use of older versions of the Licensed Software may not be supported or compatible with current operating systems, hardware, or third-party technologies.

Intellectual Property Ownership

The Licensed Software, including its structure, organization, code, Documentation, and authorized copies, is and remains the intellectual property of ROCS or the third parties from whom ROCS has obtained the necessary rights.

Licensed Content, including show files, musical tracks, recordings, and other content made available through the Licensed Software, is and remains the property of the applicable copyright owner, licensing company, publisher, composer, author, or other rights holder, as applicable.

Licensee receives only the limited rights expressly granted under this EULA and any applicable license for Licensed Content. No ownership interest in the Licensed Software or Licensed Content is transferred to Licensee.

The Licensed Software may contain trade secrets and other confidential or proprietary information belonging to ROCS or third parties. The Licensed Software and its intellectual property are protected by applicable copyright, trademark, trade secret, and other intellectual property laws and international treaties.

Reservation of Rights

ROCS reserves all rights in and to the Licensed Software that are not expressly granted to Licensee under this EULA. Licensee receives no rights in the Licensed Software other than the limited rights expressly granted by this EULA.

All rights in Licensed Content are reserved by the applicable copyright owners, licensing companies, publishers, composers, authors, and other rights holders. Licensee receives no rights in Licensed Content except those expressly granted under the applicable license.

Complete Agreement

This EULA constitutes the entire agreement between Licensee and ROCS concerning the Licensed Software and supersedes all prior or contemporaneous representations, discussions, communications, agreements, arrangements, advertisements, and understandings concerning the Licensed Software, except for any separate written agreement expressly governing Licensed Content or other services provided to Licensee.

To the extent that a separate agreement between Licensee and a licensing company or other rights holder governs the use of Licensed Content, that agreement remains applicable to such Licensed Content.

Modification

ROCS may modify this EULA from time to time. Any material modification will be effective upon the date specified by ROCS in the updated EULA or upon notice to Licensee, as applicable.

No modification shall retroactively expand Licensee’s obligations for any period before the modification became effective.

Severability

If any provision of this EULA is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions of this EULA shall remain in full force and effect.

Waiver

No failure or delay by ROCS in exercising any right or remedy under this EULA shall constitute a waiver of that right or remedy. A waiver shall be effective only if expressly provided in writing by an authorized representative of ROCS.

Proof of Compliance

Upon reasonable request from ROCS, Licensee shall provide information reasonably necessary to verify Licensee’s compliance with this EULA, including information regarding the number of authorized users accessing Licensed Content and the use of Access Codes.

Licensee shall provide such information within thirty (30) calendar days of the request, unless a shorter period is reasonably necessary to address suspected unauthorized access or use.

Termination

If Licensee materially breaches this EULA and fails to cure the breach within thirty (30) calendar days after receiving written notice from ROCS or its authorized representative, ROCS may terminate this EULA, except where the breach is incapable of cure or where immediate termination is otherwise permitted under this EULA or applicable law.

Upon termination of this EULA, Licensee’s right to use the Licensed Software shall immediately cease. Licensee shall cease using the Licensed Software and Licensed Content.

Access to Licensed Content may be automatically revoked from Licensee’s computer or supported device following termination or expiration of the applicable license. If Licensed Content remains stored on Licensee’s computer or supported device after access has been disabled, Licensee shall delete the applicable show files and shall not attempt to access, decrypt, extract, export, copy, or otherwise use them.

Licensee is not required to uninstall the Licensed Software following termination.

Termination of this EULA does not transfer or extinguish any rights or obligations arising under a separate license governing Licensed Content. Licensee’s right to access and use Licensed Content is separately subject to the applicable license from the relevant licensing company or other rights holder.

Any provisions of this EULA that by their nature should survive termination, including intellectual property ownership, restrictions on use, indemnification, disclaimers of warranties, limitations of liability, and governing law, shall survive termination.

Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to this EULA shall be subject to the jurisdiction of the applicable courts located in the State of Utah, unless otherwise required by applicable law.
